TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern your access to and use of the Reusify website and related services (collectively, the “Site” or “Platform”). Reusify is a brand operated by La Utileria Corp (“La Utileria Corp,” “Reusify,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. ABOUT REUSIFY

Reusify is an online marketplace where users may list, browse, buy, sell, rent, or inquire about used, reused, secondhand, pre-owned, and, in some cases, new items.

Reusify provides a platform for users to connect. Reusify is not the seller, buyer, renter, lessor, broker, shipper, delivery provider, payment processor, warehouse provider, or insurer of listed items unless expressly stated otherwise.

2. ELIGIBILITY

You must be at least 18 years old to use the Site. By using the Site, you represent and warrant that:
– you are at least 18 years old;
– you have the legal capacity to enter into binding agreements;
– the information you provide is accurate and complete; and
– you will comply with these Terms and all applicable laws.

3. USER ACCOUNTS

Certain features may require an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You agree to provide accurate, current, and complete information and to update it when necessary.

We may suspend, restrict, or terminate any account at our discretion if we believe these Terms have been violated or that the account creates risk for users, the Site, or third parties.

4. MARKETPLACE ROLE ONLY

Reusify acts only as a venue for users to find each other and communicate about items.

Reusify does not:
– process payments on the Site;
– collect commissions on transactions at this time;
– arrange or provide shipping, pickup, delivery, storage, or logistics;
– inspect or verify listed items;
– guarantee that a transaction will occur;
– guarantee the condition, authenticity, legality, safety, quality, ownership, or accuracy of any listing or item.

All payment arrangements, delivery terms, logistics, pickup, shipping, rental terms, returns, refunds, and any related agreements are made directly between users at their own risk and convenience.

5. LISTINGS AND SELLER RESPONSIBILITIES

If you post a listing, you represent and warrant that:
– you own the item or have the legal right to sell, rent, or list it;
– your listing is truthful, accurate, and not misleading;
– you accurately disclose the condition of the item, including whether it is used, reused, secondhand, pre-owned, like new, or new;
– your photos fairly represent the item;
– your listing complies with all applicable laws and regulations;
– your listing does not infringe any third-party rights, including intellectual property rights.

You are solely responsible for your listings, communications, pricing, and all commitments you make to other users.

6. PROHIBITED ITEMS AND CONDUCT

You may not use Reusify to list, promote, buy, sell, rent, or distribute:
– stolen goods;
– counterfeit or infringing goods;
– illegal items;
– recalled or unsafe products;
– weapons, explosives, or hazardous materials;
– controlled substances or drug paraphernalia;
– items whose sale or transfer is restricted by law;
– fraudulent, deceptive, or misleading listings.

You also agree not to:
– impersonate any person or entity;
– provide false account or listing information;
– harass, threaten, or abuse other users;
– use the Site for unlawful activity;
– upload malicious code or interfere with the Site’s operation or security;
– scrape, crawl, copy, or use automated means to access the Site without permission.

We may remove listings or restrict access at any time, with or without notice.

7. PAYMENTS AND FEES

Reusify does not currently process payments through the Site. Buyers and sellers or renters and lessors are responsible for arranging payment directly with each other.

Reusify does not currently charge commissions on transactions completed between users unless clearly stated otherwise on the Site in the future.

Reusify is not responsible for payment disputes, nonpayment, chargebacks, fraud, or losses connected to payments made outside the Site.

8. SHIPPING, PICKUP, DELIVERY, AND LOGISTICS

Reusify does not provide shipping, delivery, pickup, transportation, storage, or logistics services.

Users are solely responsible for arranging local pickup, shipping, delivery, return logistics, timing, handling, packaging, and any related costs, risks, and responsibilities.

Any loss, delay, damage, non-delivery, or dispute relating to logistics is solely between the users involved.

9. USER COMMUNICATIONS AND THIRD-PARTY APPS

The Site may allow users to contact sellers through direct links to text messaging, WhatsApp, or other third-party communication services.

If you choose to communicate outside the Site or through third-party apps, you do so at your own risk. Reusify does not control those services and is not responsible for their availability, security, privacy practices, records, content, or outcomes. Your use of those third-party services is governed by their own terms and policies.

10. IN-PERSON MEETUPS AND SAFETY

If users meet in person for pickup, delivery, inspection, or exchange, they do so entirely at their own risk.

Reusify is not responsible for any injury, damage, theft, misconduct, loss, or dispute arising from in-person meetings, off-platform communication, or off-platform transactions.

Users are encouraged to use caution and meet in safe, public locations when appropriate.

11. RETURNS, REFUNDS, CANCELLATIONS, AND DISPUTES

Because transactions are arranged directly between users and payments are not processed through the Site, Reusify does not issue refunds, process returns, or manage cancellations.

All return, refund, rental, cancellation, and dispute terms must be agreed directly between the users involved.

Reusify may, but is not obligated to, review complaints or assist informally in disputes. Any such involvement is voluntary and does not create liability or a duty to intervene.

12. USER CONTENT

You retain ownership of the content you post, including listings, photos, descriptions, profile information, and messages you submit through the Site (“User Content”).

By posting User Content, you grant Reusify a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, and use that content as needed to operate, maintain, improve, and promote the Site.

You represent and warrant that you have all rights necessary to post your User Content.

13. INTELLECTUAL PROPERTY

The Site, including its branding, design, layout, logos, text, software, and other original content provided by Reusify, is owned by or licensed to La Utileria Corp and is protected by applicable intellectual property laws.

You may not copy, reproduce, modify, distribute, reverse engineer, or exploit any part of the Site except as allowed by law or with our written permission.

14. TERMINATION AND REMOVAL

We reserve the right to suspend, limit, remove, or terminate access to the Site or any listing, account, or content at any time, with or without notice, if we believe:
– these Terms were violated;
– a listing is misleading, unlawful, unsafe, or inappropriate;
– an account creates risk to users or the Site; or
– removal is necessary for legal, operational, or safety reasons.

15. DISCLAIMER OF WARRANTIES

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REUSIFY AND LA UTILERIA CORP DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR SECURITY.

WE DO NOT WARRANT THAT:
– THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
– ANY LISTING IS ACCURATE OR COMPLETE;
– ANY USER WILL COMPLETE A TRANSACTION;
– ANY ITEM IS SAFE, LEGAL, AUTHENTIC, OR AS DESCRIBED.

16. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REUSIFY, LA UTILERIA CORP, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, BUSINESS, OPPORTUNITY, OR PROPERTY, ARISING OUT OF OR RELATED TO:
– YOUR USE OF OR INABILITY TO USE THE SITE;
– ANY LISTING OR ITEM;
– ANY TRANSACTION OR ATTEMPTED TRANSACTION;
– ANY PAYMENT MADE DIRECTLY BETWEEN USERS;
– ANY SHIPPING, PICKUP, DELIVERY, OR MEETING BETWEEN USERS;
– ANY THIRD-PARTY COMMUNICATION APP OR SERVICE;
– ANY CONDUCT OR CONTENT OF ANY USER.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF REUSIFY AND LA UTILERIA CORP FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

17. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Reusify, La Utileria Corp, and their officers, directors, employees, affiliates, agents, and contractors from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
– your use of the Site;
– your listings or User Content;
– your transactions or arrangements with other users;
– your violation of these Terms;
– your violation of any law or third-party rights.

18. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the jurisdiction and venue of those courts.

19. CHANGES TO THESE TERMS

We may update these Terms from time to time. Updated Terms will be posted on the Site with a revised Effective Date. Your continued use of the Site after changes become effective means you accept the updated Terms.
